1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and the Canadian Cardiac Oncology Network ("we," "us," or "our") governing your access to and use of the website located at https://www.cardiaconcology.ca/ (the "Site") and any related services we provide.

By accessing or using the Site, creating an account, or submitting information through any form, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Site.

2. Eligibility

You must be at least the age of majority in your province or territory of residence (18 years of age in Ontario) to use the Site or create an account. By using the Site, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

If you are using the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. User Accounts

3.1 Account Registration

To access certain features of the Site, you may be required to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information;
• Maintain and promptly update your account information;
• Maintain the security and confidentiality of your account credentials;
• Accept responsibility for all activities that occur under your account;
• Notify us immediately of any unauthorized use of your account.

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe that you have violated these Terms or engaged in conduct that may harm us, other users, or third parties.

You may close your account at any time by contacting us using the details in Section 14.

4. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any manner that violates any applicable federal, provincial, local, or international law or regulation;
• Use the Site to transmit, distribute, or store any material that is unlawful, defamatory, harassing, abusive, fraudulent, infringing, obscene, or otherwise objectionable;
• Attempt to gain unauthorized access to the Site, other users' accounts, or any computer systems or networks connected to the Site;
• Interfere with or disrupt the operation of the Site, including by introducing viruses, malware, or other harmful code;
• Use any robot, spider, scraper, or other automated means to access the Site or collect information from it without our prior written consent;
• Reverse engineer, decompile, or disassemble any portion of the Site;
• Use the Site to send unsolicited commercial communications (spam);
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

5. Intellectual Property

5.1 Our Content

The Site and all of its content, features, and functionality – including but not limited to text, graphics, logos, images, audio, video, software, designs, and the compilation thereof (collectively, the "Content") – are owned by the Canadian Cardiac Oncology Network, its licensors, or other content providers and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use.

5.2 Restrictions

Except as expressly permitted in these Terms or with our prior written consent, you may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content;
• Use any Content for commercial purposes;
• Remove or alter any copyright, trademark, or other proprietary notices.

5.3 User-Submitted Content

If you submit any content, feedback, suggestions, or materials to us through the Site ("User Content"), you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, and display such User Content for the purposes of operating, promoting, and improving the Site and our services.

You represent and warrant that you own or have the necessary rights to submit any User Content and that the User Content does not infringe the rights of any third party.

6. Medical and Educational Information Disclaimer

The information provided on the Site is for general informational and educational purposes only and is not intended as, and shall not be understood or construed as, professional medical advice, diagnosis, or treatment. The Canadian Cardiac Oncology Network is a professional and educational network; nothing on the Site replaces consultation with a qualified healthcare provider.

You should always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition or treatment. Never disregard professional medical advice or delay in seeking it because of something you have read on the Site.

7. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we are not liable, directly or indirectly, for any damage or loss caused by or in connection with your use of any third-party content, websites, or services.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or its servers are free of viruses or other harmful components.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent such exclusions are not permitted by law, the warranties in this section are excluded only to the maximum extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE CANADIAN CARDIAC ONCOLOGY NETWORK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Canadian Cardiac Oncology Network and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Site;
• Your violation of these Terms;
• Your violation of any third-party right, including intellectual property or privacy rights;
• Any User Content you submit.

11. Modifications to the Site and Terms

We reserve the right to modify, suspend, or discontinue the Site (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

We may also revise these Terms from time to time. The updated Terms will be posted on the Site with a revised "Last Updated" date. Your continued use of the Site after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the courts located in Toronto, Ontario, Canada, and you consent to the personal jurisdiction of those courts.

13. Severability and Waiver

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

These Terms, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and the Canadian Cardiac Oncology Network concerning the Site, and supersede all prior agreements and understandings.

15. Language

These Terms have been drafted in English. If translated into another language, the English version shall prevail in the event of any conflict or inconsistency.
